Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website, products, and services provided by TackOn Labs (“we,” “us,” or “our”), including tackonlabs.com, TackOn FSM, TackOn Table, TackOn Marketplace, and any related applications or services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Services Overview

TackOn Labs provides custom software development services and operates the following products:

• TackOn FSM — Field service management software for contractors
• TackOn Table — Restaurant point-of-sale and management system
• TackOn Marketplace — Platform connecting service providers with customers
• Custom Development — Tailored software solutions for agencies, startups, and enterprises

Each product may have additional terms specific to its use. In the event of a conflict, product-specific terms take precedence over these general Terms.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding legal agreement to use our services. By using our services, you represent that you meet these requirements.

If you are using our services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. Accounts

Some of our services require you to create an account. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security and confidentiality of your login credentials
• All activity that occurs under your account

Notify us immediately at sales@tackonlabs.com if you suspect unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your account.

4. Acceptable Use

You agree not to use our services to:

• Violate any applicable law, regulation, or third-party rights
• Transmit malware, viruses, or any harmful code
• Attempt to gain unauthorized access to our systems, networks, or other user accounts
• Interfere with or disrupt the integrity or performance of our services
• Use our services for any fraudulent, deceptive, or misleading purpose
• Scrape, crawl, or harvest data from our services without written permission
• Resell, sublicense, or redistribute our services without authorization

We reserve the right to suspend or terminate your access for violations of these Terms.

5. Custom Development Services

For custom software development projects:

• Scope: All project scope, deliverables, timelines, and pricing will be defined in a separate Statement of Work (SOW) or project agreement.
• Ownership: Unless otherwise specified in writing, you retain ownership of custom code and deliverables created specifically for your project upon full payment.
• Third-Party Components: Projects may include open-source or third-party components governed by their own licenses. We will disclose these when applicable.
• Revisions: The number of revision rounds and change request processes will be defined in the project agreement.

6. SaaS Product Terms

TackOn Table

• Billing: Monthly billing only. No annual contracts.
• Cancellation: 30 days written notice required to cancel. No cancellation fees.
• Hardware: TackOn Table operates on TackOn-branded hardware only. We do not support bring-your-own-device (BYOD) configurations.
• Payment Processing: Built-in payment processing is included. Processing rates start at 2.8% + 10¢ per transaction, with volume discounts available.
• Data: You retain ownership of all business data entered into TackOn Table. Upon cancellation, you may request an export of your data within 30 days.

TackOn FSM

• Billing: Terms defined in your service agreement.
• Data: You retain ownership of all business data entered into TackOn FSM. Upon cancellation, you may request an export of your data within 30 days.

TackOn Marketplace

• Listings: You are responsible for the accuracy of your listings and profile information.
• Reviews: Our review system is two-way and verified. Manipulation of reviews is prohibited and may result in account suspension.

7. Payment Terms

• All fees are stated in U.S. dollars unless otherwise specified.
• Payment is due according to the terms in your invoice, service agreement, or product subscription.
• Late payments may be subject to a fee of 1.5% per month or the maximum allowed by law, whichever is less.
• We reserve the right to suspend services for overdue accounts after written notice.

8. Intellectual Property

• Our Property: The TackOn Labs name, logo, product names (TackOn FSM, TackOn Table, TackOn Marketplace), website design, and all proprietary software, content, and materials are owned by TackOn Labs and protected by intellectual property laws.
• Your Property: You retain ownership of all content, data, and materials you provide to us or input into our products.
• License to Us: By using our services, you grant us a limited license to use your content solely to provide and improve our services to you.
• Feedback: Any suggestions, ideas, or feedback you provide about our services may be used by us without obligation or compensation to you.

9. Third-Party Services

Our services may integrate with or contain links to third-party services (e.g., payment processors, analytics providers, CRM tools). We are not responsible for the terms, privacy practices, or availability of third-party services.

10. Disclaimers

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• Our services will be uninterrupted, error-free, or secure
• Results obtained from our services will be accurate or reliable
• Any defects will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TACKON LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless TackOn Labs, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights

13. Termination

We may suspend or terminate your access to our services at any time for:

• Violation of these Terms
• Non-payment of fees
• Conduct that we determine is harmful to other users, us, or third parties

Upon termination, your right to use our services ceases immediately. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, and Indemnification) will remain in effect.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of our services shall be resolved in the state or federal courts located in Collin County, Texas. You consent to the jurisdiction of these courts.

15. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated “Last Updated” date. Your continued use of our services after changes are posted constitutes acceptance of the revised Terms.

For material changes, we will make reasonable efforts to notify you via email or through our services.
